1. Acceptance of Terms
By accessing or using the Helix Strategy Group platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service. These terms apply to all visitors, users, and others who access the Service.
2. Description of Service
Helix Strategy Group provides regulatory intelligence, data analytics software, and compliance resources related to the Medicare Part D Manufacturer Discount Program. Our outputs, including liability forecasts, phase-in eligibility determinations, and regulatory analysis, are for informational purposes only and do not constitute legal, financial, or professional advice. Users must independently verify all data before making business or compliance decisions.
3. User Accounts
Access to the Helix Platform may require an account. You must provide accurate and complete information when creating an account. You are solely responsible for the activity that occurs on your account and for keeping your account password secure. You must notify us immediately of any breach of security or unauthorized use of your account.
4. Intellectual Property Rights
The Service and its original content, features, functionalities, proprietary algorithms, and legal models are and will remain the exclusive property of Helix Strategy Group and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Helix Strategy Group.
5. User Data and Confidentiality
You retain all rights to any data, information, or material that you submit to the Service ("User Data"). By submitting User Data, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process the User Data solely for the purpose of providing the Service to you. We are committed to maintaining the confidentiality of your User Data in accordance with our Privacy Policy.
6. Limitations of Liability
In no event shall Helix Strategy Group, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use or alteration of your transmissions or content.
7. Indemnification
You agree to defend, indemnify, and hold harmless Helix Strategy Group and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) any reliance on the informational outputs provided by the Service.
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
9. Governing Law
These terms shall be governed and construed in accordance with the laws of the State of Pennsylvania, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
